Formaliza is a guidance and document-preparation service for forming simplified stock companies (SAS) in Colombia. We offer a free checklist, step-by-step guides personalized by city and, in paid packages, a draft of your bylaws generated from your answers, filing, RUT, bank-account and e-invoicing guides, and email support.

Formaliza is not a law firm or an accounting firm. The information and documents we deliver do not constitute legal, tax or accounting advice, and using them creates no attorney-client relationship. For specific situations we recommend consulting a professional. Whether and how to formalize your business is your decision.

The personalized checklist is free, requires no account or email, and can be used without buying anything. Your answers and progress are stored only in your browser (local storage) and are not sent to our servers.

Packages (Esencial, Completo and Lanzamiento) have a flat price published on the pricing page, in Colombian pesos (COP), paid once. Published prices are the total amount you pay Formaliza. Official fees of Chambers of Commerce, DIAN, notaries, banks or any other entity are NOT included and are paid by you directly to each entity.

Payments are processed by Wompi (PSE, Nequi and cards). Formaliza never receives or stores card data or banking credentials. Your purchase is confirmed only when Wompi reports the transaction as approved; PSE and Nequi payments can take a few minutes to confirm.

We may change prices at any time; changes do not affect purchases already made.

Once payment is approved we create your account (tied to the email you paid with) and give you immediate access to your dashboard through an access link, with no passwords. Deliverables are digital and consumed online: your draft bylaws are generated from the details you enter in your dashboard, and you can edit and regenerate them as often as you like.

The Lanzamiento package includes a starter website built through Sin Página; delivery of that site is coordinated by email after purchase and depends on you sending us the required information.

As a distance purchase, you have a right of withdrawal within five (5) business days of purchase under article 47 of Law 1480 of 2011 (Colombian Consumer Statute). To exercise it, write to hola@formaliza.co from your purchase email quoting your order reference. We refund the amount paid through the same payment method, within the timeframes allowed by Wompi and your bank.

In addition, if you wrote to us before buying and we confirmed your case was not covered by our guide, but you purchased by mistake anyway, we refund the full amount.

You are responsible for the truthfulness and accuracy of the details you enter (names, ID numbers, capital, corporate purpose and so on). Generated documents are based on that information; review them before signing or filing.

You are responsible for filing documents with the relevant entities, paying official fees, and meeting your company's ongoing obligations (registration renewal, accounting, taxes, payroll, etc.).

We do our best to keep information current and mark each time-sensitive fact with the date we last verified it. Rules, fees, virtual tools and entity requirements change, however; we do not guarantee that a Chamber of Commerce, DIAN, a bank or any other entity will accept a filing, nor specific turnaround times, since these depend on each entity.

To the fullest extent permitted by law, Formaliza's liability for any claim related to the service is limited to the amount you paid for the corresponding package.

The site, guides, texts and software belong to Formaliza or its licensors. Documents generated for you (for example, your bylaws) are yours and you may use them freely for your company. Reselling, bulk copying or redistributing the site's guides and content is not permitted.

Access to your account is through single-use links sent to your email, with no passwords. Keep control of your email account; any action taken through a valid link is deemed taken by you. Write to us immediately if you believe someone else accessed your account.

We may update these terms. The current version will be published on this page with its update date. Changes apply going forward and do not affect purchases already made.

These terms are governed by the laws of the Republic of Colombia. You can raise any complaint first at hola@formaliza.co; we answer every email. As a consumer you may also turn to the Superintendencia de Industria y Comercio (SIC).
