Forming a SAS in Cali

If your business is in Cali, your SAS is registered with the Cámara de Comercio de Cali. The file and the steps that follow are the same as anywhere else; what we have not yet confirmed is whether that Chamber currently offers fully virtual incorporation, so this guide prepares you for both scenarios.

The steps in Cali

  1. 1

Check that the company name is available

    100% online

Search the name in RUES (the national business registry). The check is nationwide: if the name already exists in any mercantile registry in the country, the Chamber will reject your filing.

  2. 2

    Draft the bylaws (private document)

    100% online

The bylaws are signed as a private document by all shareholders, no notary in your case. Paid packages generate them from your answers; the free path is your Chamber's standard proforma.

  3. 3

File your SAS with the Cámara de Comercio de Cali

To be confirmed for your city

Complete file: bylaws signed by all shareholders, ID documents, the RUES form, and the tax-responsibilities annex. Confirm with the Cámara de Comercio de Cali whether you can file online or must visit an office.

  4. 4

    Finalize the NIT/RUT with DIAN

    100% online

Once the Chamber registration is approved, the NIT is assigned and the RUT is finalized with DIAN, typically 1 to 2 additional business days. This registration is free: be wary of anyone charging you to 'process the NIT'.

  5. 5

    Open the business bank account

    Online with in-person validation

Let's be upfront: today no major bank opens the account 100% remotely. All of them require in-person or video validation of the legal representative. Minimum opening deposits: from COP $0 (Davivienda/DAVIbank) and COP $100,000 (Bancolombia) up to COP $5,000,000 (BBVA). Confirm the current figure before you go.

  6. 6

    Enable e-invoicing with DIAN

    100% online

E-invoicing enablement is done online with DIAN and is what lets you issue valid invoices to companies and the government, one of the main reasons to formalize.

  7. 7

Every year: renew the mercantile registration

    100% online

The recurring obligation of a SAS: renew the registration with your Chamber in the first months of each year (the traditional deadline is March 31). Not a formation step, but note it now.

Prepare your Cali file whatever the channel

Whether the Chamber lets you file online or asks you to visit an office, the file is the same: bylaws signed by all shareholders, a copy of each shareholder's and the legal representative's ID, the RUES form, and the tax-responsibilities annex. Having it complete from the start saves time either way, because delays almost always come from incomplete or incorrect files.

How to confirm the channel before leaving home

Check the official website of the Cali Chamber of Commerce (ccc.org.co) or write to us at hola@formaliza.co: we will confirm the exact path before you file or pay anything. Meanwhile, the checklist with Cali preselected marks the Chamber step as "to be confirmed for your city" and lists what to bring if it turns out to be in person.

If your partners sign from far away

If a partner lives outside Cali or abroad, coordinate signatures ahead of time: all shareholders sign the bylaws, and a half-finished file is the most common reason registration gets delayed. If money comes from abroad, the registration with Banco de la República is added, which in practice happens when the funds are channeled through the receiving bank. The checklist adds that step when you answer yes to the second question.

Approximate fees

Mercantile registration for a small SAS: roughly COP $75,000 to $120,000, formula-based on declared assets. RUES form: about COP $4,300. DIAN tax ID registration: free. Confirm the exact amount in your Chamber's official calculator before filing.
